STANDARD TERMS AND CONDITIONS OF SALE

1. General
2. 1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
   2. Ajay Goel Textiles Private Limited undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Ajay Goel Textiles Private Limited cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
      
3. Payment Terms
4. 1. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Ajay Goel Textiles Private Limited reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Ajay Goel Textiles Private Limited will be authorized to suspend any provision of services without prior warning in the event of late payment.
      
   2. If a payment is still outstanding more than sixty (60) days after the due payment date, Ajay Goel Textiles Private Limited reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
   3. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Ajay Goel Textiles Private Limited become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Ajay Goel Textiles Private Limited in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
      
5. Claims & Debits - General
6. 1. We (supplier) shall not be responsible for damages/claims on account of air freight /late delivery /loss of sales or any damages claimed by our client’s customer in any form.
   2. We (supplier) shall not accept any claims for cancelation of order.
   3. We shall not be responsible for the goods after the customer does any process like washing, bleaching, dyeing, printing, ironing, etc. or any other process.
   4. In order for it to be admissible, Ajay Goel Textiles Private Limited must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
      
7. Returns
8. 1. Goods once sold will not be taken back or exchanged.
   2. We (supplier) shall only be responsible for claims against defective fabric to you, provided we are informed in writing immediately or within 2 working hours of delivery. Beyond such period, it shall be construed that the goods have been found ok. Also we must be made satisfied that the defects are genuine.
   3. Any returns will only be acceptable after our (suppplier) pre-authorisation.
   4. Only full rolls/ thans will be acceptable in their original packing as supplied to the customer.
   5. Goods authorised by us (supplier) shall only be returned.
   6. All goods received by us are subject to inspection for quantity and quality before credit is issued.
   7. When your return has been received and inspected, credit will be issued to your account.
   8. Returns not meeting the specific conditions stated above are subject to non-acceptance and will be kept for limited time.
9. Force Majeure: Neither party will be liable for performance delays nor for non-performance due to causes beyond its reasonable control, except for payment obligations.
10. Conflict Resolution & Juridiction
11. 1. All our contractual relations will be governed exclusively by the Indian law.
    2. All disputes and claims arising out of any contract shall be subject only to the Juridiction of the courts in Delhi.
